1. About EAARTH PAY

EAARTH PAY is a payment initiation service operated by Eaarth Ltd, a company incorporated in England and Wales (Company No. 14940705), registered address: Little Mead, Leighton Road, Great Billington, Leighton Buzzard, LU7 9BJ, England.

We are registered with the Information Commissioner's Office (ICO Ref: ZC173483). Payment services are provided using the regulatory permissions of our banking and payments partners, including TBC, which is authorised and regulated by the Financial Conduct Authority for payment and e-money services. Eaarth Ltd does not hold, and has not applied for, its own FCA authorisation. We are not a bank and do not hold or custody your funds, these are held by our regulated partners.

2. Merchant Eligibility

2.1 To become an EAARTH PAY merchant, you must be a UK-registered business with an active business bank account that supports Faster Payments.

2.2 You must complete our business identity verification process, including providing company registration details, director identification, and proof of business bank account ownership.

2.3 By applying to become a merchant, you confirm that your business operates lawfully and that the goods or services you sell are legal in the UK.

3. How EAARTH PAY Works for Merchants

3.1 Payment initiation: When a customer makes a payment to you via EAARTH PAY, we initiate a Faster Payments bank transfer directly from the customer's bank account to your registered merchant bank account. EAARTH PAY does not hold, pool, or custody any funds at any point.

3.2 QR codes: We provide you with a unique EAARTH QR code linked to your merchant account. Customers scan this code to initiate a payment. You may use this QR code at point of sale, on invoices, or on any sales channel.

3.3 Settlement: Payments settle directly from the customer's bank to your bank, typically within one business day. EAARTH does not act as an intermediary holder of funds.

4. Fees

4.1 EAARTH PAY charges a transaction fee of 0.70% per successful payment, subject to a maximum charge of £15 per transaction. There is no minimum fee.

4.2 Fees are calculated on the gross transaction amount and deducted from each payment at the point of settlement, or invoiced monthly as agreed in your merchant agreement.

4.3 Fees are subject to VAT where applicable under UK law.

4.4 EAARTH PAY does not charge setup fees, monthly subscription fees, or fees to payers (customers). The transaction fee is paid solely by the merchant.

5. Refunds and Disputes

5.1 As a PISP, EAARTH PAY does not process refunds directly. If a customer is entitled to a refund, you must initiate a return bank transfer to the customer from your business bank account.

5.2 Transaction fees are non-refundable once a payment has been successfully initiated and processed.

5.3 In the event of a disputed payment, you must cooperate with EAARTH PAY and any relevant financial institution to resolve the dispute in a timely manner.

6. Merchant Obligations

As a merchant, you agree to:

  • Only accept payments for lawful goods and services.
  • Not use EAARTH PAY for personal (non-business) transactions.
  • Notify us immediately if you believe your QR code or merchant credentials have been compromised.
  • Maintain accurate business and bank account details at all times.
  • Comply with all applicable laws, including consumer protection, anti-money laundering, and sanctions regulations.
  • Not use EAARTH PAY to process payments on behalf of other businesses (i.e., you may not act as a payment facilitator).

7. Anti-Money Laundering (AML)

We are required by the Money Laundering, Terrorist Financing and Transfer of Funds (Information on the Payer) Regulations 2017 to conduct due diligence on merchants. You must cooperate with any requests for enhanced due diligence information. We may suspend merchant accounts pending AML review and are required to file Suspicious Activity Reports (SARs) where required by law.

8. Data

We process personal data related to your business and its transactions in accordance with our Privacy Policy (eaarth.app/privacy) and UK GDPR. Transaction data may be retained for up to 7 years for financial compliance purposes.

9. Termination

Either party may terminate the merchant relationship with 30 days written notice. EAARTH PAY may suspend or terminate immediately in cases of AML concerns, fraud, breach of these Terms, or legal requirements. Outstanding fees remain payable upon termination.

10. Complaints

10.1 If you have a complaint about your EAARTH PAY merchant account, tell us first. Email support@eaarth.app with "Complaint" in the subject line and as much detail as you can give us. We will acknowledge your complaint within 5 business days and aim to give a full response within 15 business days; where a matter needs input from our banking partner or your bank, it can take longer, and we will tell you if that happens.

10.2 Eaarth Ltd is not itself authorised or regulated by the Financial Conduct Authority (see Section 1). EAARTH PAY's payment rails run on the regulatory permissions of TBC, which is FCA-authorised for payment and e-money services. Whether a complaint about the payment side of the service can be referred to the Financial Ombudsman Service (FOS) depends on two things: the specific regulatory arrangement in place between Eaarth Ltd and TBC at the time, and whether your business is itself an "eligible complainant" under the FOS's own rules, broadly, this covers micro and small businesses (fewer than 50 employees and either annual turnover below £6.5 million or a balance sheet below £5 million), not larger companies. If your complaint is not resolved by our own process and you believe you may be eligible, raise the underlying payment issue directly with TBC, as the FCA-authorised institution actually providing the rails, who can confirm whether it falls within the FOS's jurisdiction.

10.3 Where the FOS does have jurisdiction, it is a free, independent complaints service, and a complaint must usually be referred within 6 months of a final response. Financial Ombudsman Service, Exchange Tower, London E14 9SR · financial-ombudsman.org.uk · 0800 023 4567.

11. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
