Terms of Use

1. Acceptance of Terms

By accessing or using the EAARTH platform ("Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you and Eaarth Ltd ("EAARTH", "we", "us"). If you are accepting these Terms on behalf of an organisation, you represent that you have authority to bind that organisation.

2. About EAARTH

EAARTH is a production management platform for the film and television industry, operated by Eaarth Ltd, a company incorporated in England and Wales (Company No. 14940705), with registered address at Little Mead, Leighton Road, Great Billington, Leighton Buzzard, LU7 9BJ, England.

The EAARTH platform includes EAARTH OS (the core production management suite), EAARTH PAY (payment initiation services), and EAARTH DM (encrypted communications), along with all associated portals, APIs, and mobile applications.

3. Account Registration

3.1 To access the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

3.2 All EAARTH accounts require identity verification (KYC). You must provide a valid government-issued ID and complete our biometric verification process. Providing false identity information is a breach of these Terms and may be reported to relevant authorities.

3.3 You are solely responsible for maintaining the confidentiality of your login credentials. You must notify us immediately through in-app chat if you suspect any unauthorised access to your account.

3.4 You must be at least 18 years old to create an EAARTH OS account. EAARTH DM's personal service has its own, lower minimum age of 16; see the DM Personal Terms of Use, Section 2. EAARTH OS and EAARTH DM share one account system, so each product's minimum age is enforced separately, checked against the verified date of birth from your government ID rather than the age you state at signup; see our Privacy Policy, Section 10.

4. Permitted Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:

  • Use the Service for any illegal purpose or in violation of applicable law.
  • Attempt to gain unauthorised access to any part of the Service or any connected systems.
  • Introduce malware, viruses, or any other harmful code.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Use automated tools (bots, scrapers, crawlers) to access the Service without prior written consent.
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
  • Share your account credentials with others or allow multiple people to use a single account.
  • Use the Service to send unsolicited communications or spam.

5. Intellectual Property

5.1 The EAARTH platform, including all software, design, interfaces, trademarks, logos, and content created by Eaarth Ltd, is protected by copyright, trademark, and other intellectual property laws. All rights are reserved.

5.2 You retain ownership of all content you upload to the Service. By uploading content, you grant Eaarth Ltd a limited licence to store and process that content solely to provide the Service to you.

5.3 You may not copy, reproduce, distribute, or create derivative works from our platform content without express written permission.

6. Payment Terms

6.1 Access to EAARTH OS is provided under a commercial subscription or project licence negotiated directly with Eaarth Ltd. Pricing is customised based on production size, duration, and modules required.

6.2 EAARTH PAY usage fees (where applicable) are set out in the PAY Merchant Terms and agreed separately.

6.3 All payments are due as agreed in your licence agreement. Late payments may result in access being restricted pending payment.

7. Confidentiality

You acknowledge that production data, crew information, and commercially sensitive materials stored on EAARTH OS are confidential. You agree not to share, export, or distribute data belonging to other users or productions to which you have been granted access, outside of the normal use of the platform.

8. Data Protection

The collection and use of personal data in connection with the Service is governed by our Privacy Policy (eaarth.app/privacy), which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your data as described in the Privacy Policy.

Where UK law requires us to disclose information, we will do so, including what this means for EAARTH DM's end-to-end encryption, see our Privacy Policy, Section 5, and the DM Personal Terms, Section 6, for the full detail of what can and cannot be disclosed.

9. Availability and Downtime

We aim to maintain high availability of the Service, but we do not guarantee uninterrupted or error-free operation. Planned maintenance will be communicated in advance. We are not liable for losses caused by service outages, whether planned or unplanned.

10. Limitation of Liability

To the maximum extent permitted by law, Eaarth Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the Service. Our total liability to you in connection with the Service shall not exceed the amount you paid for the Service in the twelve months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Eaarth Ltd, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Service, your breach of these Terms, or your violation of any applicable law or third-party rights.

12. Termination

12.1 Either party may terminate the use of the Service at any time. You may close your account at any time from your account settings. This does not cancel any payment already due under Section 6.

12.2 Eaarth Ltd may suspend or terminate your access immediately if you breach these Terms, engage in fraudulent activity, or if required to do so by law.

12.3 Upon termination, your right to use the Service ceases. Data export requests should be made before account closure, subject to the retention periods in our Privacy Policy.

13. Changes to These Terms

We may revise these Terms from time to time. We will notify you of material changes by email or in-platform notice at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
